Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the Clipping Pro service (“Service”), operated by Clipping Pro (“we”, “us”, or “our”), a sole trader registered in England and Wales.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you must have your parent or guardian’s consent to use the Service. By using the Service, you represent that you meet these requirements.

3. Account Registration

To access the Service, you must create an account using a valid email address. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

You agree to provide accurate information and to notify us immediately if you suspect any unauthorised access to your account.

4. Description of Service

Clipping Pro is an AI-powered tool that helps you create short-form vertical video clips from longer videos. The Service includes:

• Providing videos for processing
• AI-driven transcription and analysis of video content
• Automated identification and ranking of engaging moments
• Generation of short vertical clips with optional captions

5. User Content

You retain all ownership rights to the videos you upload and the clips generated from them (“User Content”). By using the Service, you grant us a limited, non-exclusive licence to process your User Content solely for the purpose of providing the Service.

You represent and warrant that you have all necessary rights to any content you upload, including copyright and any required permissions from third parties.

We do not claim ownership of your User Content and will not use it for any purpose other than delivering the Service to you.

6. Acceptable Use

You agree not to use the Service to:

• Upload content that infringes on any third party’s intellectual property rights
• Upload or generate content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service
• Use automated tools (bots, scrapers) to access the Service without our written permission
• Interfere with or disrupt the Service or servers connected to it
• Violate any applicable laws or regulations

We reserve the right to suspend or terminate your account if you violate these terms.

7. Payment & Billing

Certain features of the Service require payment. Payments are processed securely through Stripe. By purchasing a plan or credits, you agree to Stripe’s terms of service.

All fees are quoted in the currency displayed at checkout and are non-refundable unless otherwise stated or required by law. We reserve the right to change our pricing with reasonable notice.

If you believe you are entitled to a refund, please contact us at noyan@clipping.pro and we will review your request on a case-by-case basis.

8. Intellectual Property

The Service, including its design, code, branding, and AI models (but excluding User Content), is the property of Clipping Pro and is protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our prior written consent.

9. Copyright & DMCA

We respect intellectual property rights and expect our users to do the same. If you believe that content on our Service infringes your copyright, please contact us at noyan@clipping.pro with:

• A description of the copyrighted work you believe has been infringed
• The URL or location of the infringing content on our Service
• Your contact information
• A statement that you have a good-faith belief the use is unauthorised
• A statement, under penalty of perjury, that the information is accurate and that you are the copyright owner or authorised to act on their behalf

We will investigate valid claims and may remove infringing content or disable access to it.

10. Limitation of Liability

To the maximum extent permitted by law, Clipping Pro shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use of or inability to use the Service
• Any errors, bugs, or interruptions in the Service
• Any unauthorised access to your data
• The quality, accuracy, or suitability of AI-generated clips

Our total aggregate liability shall not exceed the amount you have paid us in the 12 months preceding the claim.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Service will be uninterrupted, secure, or error-free, or that AI-generated clips will meet your specific requirements or expectations.

12. Termination

You may terminate your account at any time by contacting us at noyan@clipping.pro. We may suspend or terminate your account at any time if you breach these Terms or if we discontinue the Service.

Upon termination, your right to use the Service ceases immediately. We may delete your User Content after a reasonable retention period following account closure.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
